1. Acceptance of Terms
By accessing or using ClipVault ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and ClipVault, Inc. ("we," "us," or "our").
2. Description of Service
ClipVault is a clip uploading and management platform that allows creators to store, organize, and distribute video clips across multiple channels. The Service is currently in pre-launch; full functionality will be available upon official launch.
3. Eligibility
You must be at least 13 years of age to use the Service. If you are under 18, you must have the consent of a parent or legal guardian. By using the Service, you represent and warrant that you meet these requirements.
4. User Accounts
When we launch, you may be required to create an account. You agree to:
- Provide accurate and complete information.
- Keep your credentials secure and confidential.
- Notify us immediately of any unauthorized use of your account.
- Accept responsibility for all activity that occurs under your account.
5. Acceptable Use
You agree not to use the Service to:
- Upload, share, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
- Infringe upon any intellectual property rights of others.
- Upload malicious code, viruses, or any software intended to damage or disrupt systems.
- Attempt to gain unauthorized access to any portion of the Service or its infrastructure.
- Engage in any activity that violates applicable local, national, or international laws or regulations.
- Harvest or collect personal data of other users without their consent.
6. Content Ownership & License
You retain ownership of all content you upload ("User Content"). By uploading content, you grant ClipVault a non-exclusive, worldwide, royalty-free license to host, store, process, and display your User Content solely for the purpose of operating and improving the Service. We do not sell your content to third parties.
7. Content Moderation
We reserve the right, but not the obligation, to review, moderate, or remove any User Content that we determine, in our sole discretion, violates these Terms or is otherwise harmful. We are not responsible for User Content posted by third parties.
8. Intellectual Property
The Service and all associated trademarks, logos, software, and content created by ClipVault are the exclusive property of ClipVault, Inc. and are protected by applicable intellectual property laws. You may not copy, reproduce, modify, or create derivative works without our express written consent.
9. Disclaimers
The Service is provided on an "as-is" and "as-available" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted, error-free operation of the Service.
10. Limitation of Liability
To the fullest extent permitted by applicable law, ClipVault, Inc. and its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.
11. Indemnification
You agree to indemnify and hold harmless ClipVault, Inc. and its affiliates from any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.
12. Termination
We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, third parties, or the Service itself.
13. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email (if you have joined our waitlist) or by posting a notice in the Service. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of competent jurisdiction in Delaware.
